Welcome to Tagup Pro! These Terms of Service (“Terms”) govern your access to and use of our web and mobile applications, our website (tagup.pro), Progressive Web App, and any other software, services, or features provided by Tagup Pro (“we,” “us,” or “our”), a North Carolina limited liability company.

Please read these Terms carefully. By creating an account, installing our Progressive Web App, or by accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Service.

1. Description of Service

Tagup Pro provides a paid subscription-based professional relationship management platform designed to help you systematically track, nurture, and strengthen your business relationships (“Service”). An active subscription is required for full access to the Service. A free trial may be offered to new users for evaluation purposes. The Service allows you to:

  • Contact Management: Store and organize comprehensive professional contact profiles with photos, contact details, social media links, and messaging app handles
  • Interaction Tracking: Track interactions through TagUps (meeting logs and interaction records), maintain conversation history, and view relationship timelines
  • Task Management: Create, prioritize, and manage relationship-specific tasks with due dates and priority levels (Low, Medium, High)
  • Follow-up System: Schedule and manage follow-ups with support for recurring schedules and automated reminders
  • Notes and Documentation: Maintain personal notes and observations about your professional relationships
  • Analytics and Insights: Analyze relationship patterns, network health, and interaction trends through dashboard visualizations, charts, and statistics
  • Search and Organization: Search, filter, and sort your contacts by relationship type, tags, names, and custom criteria
  • Multi-Device Access: Access and synchronize your relationship data across multiple devices
  • Customization: Personalize your experience with theme options (light/dark mode), custom preferences, and interface settings
  • Progressive Web App: Install Tagup Pro as a standalone application with offline access capabilities

2. Progressive Web App Functionality

Tagup Pro is available as a Progressive Web App (PWA) that can be installed on your device. By installing or using the PWA, you acknowledge and agree to the following:

Installation and Access:

  • You may install Tagup Pro on your device (desktop or mobile) for a standalone app experience
  • The PWA can be uninstalled at any time through your device or browser settings
  • Installation is optional; you can continue using Tagup Pro through your web browser

Offline Functionality:

  • The PWA enables offline access to previously loaded relationship data
  • Changes made offline will be stored locally and automatically synchronized when you reconnect to the internet
  • New data cannot be loaded or synced without an active internet connection
  • Offline functionality depends on your browser’s capabilities and settings

Local Storage:

  • The Service uses browser storage mechanisms (localStorage, IndexedDB, Cache API) to store data locally on your device
  • Locally stored data includes authentication tokens, user preferences, relationship data, and application files
  • Service workers are installed in your browser to enable offline functionality and improve performance
  • Cached data includes application assets (fonts, images, code files) and your relationship information

Automatic Updates:

  • The PWA may automatically download and install updates to provide new features and security improvements
  • You will be notified when updates are available and may choose when to apply them
  • Updates are necessary to maintain compatibility and security

Data Synchronization:

  • Your data synchronizes automatically between devices when connected to the internet
  • In case of synchronization conflicts, the most recent change is typically preserved
  • You are responsible for ensuring regular synchronization to prevent data loss

Storage Management:

  • The PWA uses device storage space for cached data and offline functionality
  • Storage usage depends on the size of your relationship database
  • You can free up storage by uninstalling the PWA or clearing browser cache
  • Your browser may impose storage limits on PWA functionality

Uninstallation:

  • Uninstalling the PWA removes locally cached data from your device
  • Your data stored on our servers remains accessible through the web application
  • You can export your data before uninstalling to maintain local backups

3. Analytics and Tracking

Usage Analytics:

  • We use analytics tools to understand how users interact with Tagup Pro and improve our service
  • Analytics collect anonymous usage information including page views, feature usage, navigation patterns, session duration, and general performance metrics
  • Usage data is anonymized and aggregated to protect your privacy

Cookies and Tracking Technologies:

  • The Service uses cookies for essential functionality (authentication, session management)
  • With your consent, we use optional cookies for analytics purposes
  • You can manage cookie preferences through your browser settings or account preferences
  • Essential cookies are required for the Service to function properly

Opt-Out Options:

  • You can opt out of analytics tracking through your account settings
  • We respect Do Not Track (DNT) browser signals for analytics tracking
  • Opting out of analytics does not affect core Service functionality

Third-Party Analytics:

  • We use third-party analytics platforms to collect and analyze usage data
  • These platforms are contractually bound to protect your data and use it only for providing analytics services

4. User Accounts

  • Account Creation: To use the Service, you must create an account using valid authentication credentials. You agree to provide accurate, complete, and current information during the registration process.
  • Account Responsibility: You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
  • Eligibility: You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are of legal age to form binding contracts.
  • Account Security: You agree to use a strong, unique password and enable any additional security features we provide.

Third-Party Authentication:

  • You may create an account and sign in to Tagup Pro using third-party authentication services, including Google Sign-In
  • By using third-party authentication (such as Google Sign-In), you authorize us to access and use certain information from your third-party account as permitted by that service, specifically your email address for account identification and authentication
  • You remain responsible for maintaining the security of your third-party account (e.g., your Google account), including using strong passwords and enabling two-factor authentication where available
  • You must comply with the terms of service and privacy policies of any third-party authentication provider you use
  • Third-party authentication is subject to the availability, terms, and privacy policies of the respective service providers
  • We are not responsible for any changes, interruptions, or discontinuation of third-party authentication services

Account Linking:

  • When you sign in with Google for the first time, we create a Tagup Pro account linked to your Google email address
  • You are responsible for ensuring you use the correct Google account when signing in

4a. Authentication and Account Security

Authentication Methods:
Tagup Pro supports multiple authentication methods for your convenience and security:

  • Email and password authentication
  • Google Sign-In (third-party authentication)
  • Additional authentication methods may be added in the future

Your Security Responsibilities:
Regardless of your chosen authentication method, you are responsible for:

  • Maintaining the confidentiality of your account credentials
  • Using strong, unique passwords if using password authentication
  • Enabling two-factor authentication on your Google account if using Google Sign-In
  • Not sharing your account access with others
  • Logging out from shared or public devices
  • Reviewing your account activity regularly for unauthorized access
  • Notifying us immediately of any suspected security breaches at support@tagup.pro

Password Authentication (if using email/password):

  • You must use a strong password that is unique to your Tagup Pro account
  • We use industry-standard encryption to store your password
  • You can reset your password at any time through the password reset process
  • We will never ask for your password via email or phone

Google Sign-In Authentication (if using Google):

  • You must maintain the security of your Google account
  • Your Google account security settings (password, 2FA) protect your Tagup Pro access
  • You can revoke Tagup Pro’s access through Google Account Permissions at any time
  • We recommend enabling two-factor authentication on your Google account

Account Recovery:

  • If you lose access to your authentication method, contact support@tagup.pro
  • We will verify your identity before providing account recovery assistance
  • Recovery processes may take up to 48 hours for security purposes

5. User Data and Ownership

  • Your Relationship Data: You own all data you store in Tagup Pro (“User Content”), including:

    • Contact information (names, emails, phone numbers, addresses, timezones)
    • Profile photos and avatar images
    • Social media links and messaging app handles (WhatsApp, Telegram, WeChat, Signal, etc.)
    • Interaction records and TagUps (meeting logs and conversation summaries)
    • Tasks with due dates and priority levels
    • Follow-ups including recurring schedules and automated reminders
    • Personal notes and observations
    • Relationship categories, tags, and custom classifications
    • Timeline data and relationship history
    • User preferences, settings, and customizations

    We do not claim ownership of your relationship data.

  • Billing Data: When you subscribe to a paid plan, your payment card details are collected and stored exclusively by our payment processor, Stripe, Inc. Tagup Pro does not collect, store, or have access to your full credit card number or payment card details. We receive only subscription status, plan type, payment event confirmations, and a customer identifier from Stripe. Billing data managed by Stripe is not included in data exports from Tagup Pro; you can access your payment history and invoices through the Stripe Customer Portal available in your account settings.

  • License for Service Delivery: You grant us a limited, worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing, maintaining, and improving Tagup Pro services for you.

  • Data Responsibility: You are solely responsible for the accuracy and appropriateness of your User Content. You represent that you have the right to store and manage the professional relationship information you enter into Tagup Pro.

  • Consent for Contact Data: You warrant that you have appropriate consent or legitimate business purpose to store contact information about the individuals in your Tagup Pro network, including:

    • Contact details and profile photos
    • Social media profiles and messaging app handles
    • Personal notes and relationship observations
    • Interaction history and communication records
  • Consent to Record Conversations: You are solely responsible for obtaining any consent and providing any notice required by applicable law before recording, transcribing, or otherwise capturing any conversation, meeting, or call using Tagup Pro. Recording, wiretapping, and transcription laws vary by jurisdiction — some require the consent of every party to a conversation. Tagup Pro does not notify other participants that a recording is taking place, does not display a recording indicator to them, does not obtain consent on your behalf, and does not determine which laws apply to you or to the people you record. These responsibilities rest entirely with you. You agree to inform all participants and secure any legally required consent before you begin recording, to refrain from recording where the necessary consent has not been obtained or has been declined or withdrawn, and to determine which laws apply to you and to the individuals you record. You are responsible for every recording and transcript you create using the Service.

  • Tools We Provide to Help with Consent: To help you meet your responsibilities, Tagup Pro provides optional tools to request recording and transcription consent from a contact, to let the person being recorded grant, manage, and revoke that consent, and a setting that lets you choose your own approval policy (always seek approval before recording, or seek it only where the people or places involved require it). These tools are assistive — they help you organize and seek consent, but they do not obtain consent for you, do not establish a legal basis for recording, do not decide whether consent is legally required in your situation, and do not replace your own legal judgment. They are not legal advice, may be incomplete or out of date, and do not guarantee compliance with any law. You remain solely responsible for determining what the law requires and for honoring each person’s choice. See “Recording & Transcription Consent” in our Privacy Notice for how these tools work for both Tagup users and non-users.

  • How Recordings Are Handled: When you record a conversation, Tagup Pro captures audio only long enough to produce a written transcript. After transcription, the audio is deleted from our systems and from our transcription provider — we do not retain conversation audio, store it in backups, or make it available for download. Only the transcript is kept and made available to you, and you can delete a transcript at any time. We do not use your audio or transcripts to train artificial-intelligence or machine-learning models, and we do not permit our transcription provider to use them for AI-model training. We do not create or store voiceprints or other biometric identifiers; where the Service identifies who is speaking, it does so only to label speakers within that conversation’s transcript, not to build a biometric profile or to identify a person across conversations. 6. Acceptable Use

You agree to use Tagup Pro responsibly and in compliance with all applicable laws. You will not:

Technical Misuse:

  • Attempt to reverse engineer, hack, or compromise Tagup Pro’s security systems
  • Use automated tools to scrape or extract data from the Service
  • Interfere with other users’ access to Tagup Pro
  • Overload or attempt to disrupt our servers or infrastructure
  • Circumvent rate limits, authentication mechanisms, or security measures
  • Attempt to access or modify service workers, local storage, or cached data for malicious purposes

Content Violations:

  • Store contact information obtained without consent or through illegal means
  • Record, transcribe, or capture any conversation, meeting, or call without the consent or notice required by applicable law
  • Record or transcribe any person who has declined, withheld, or revoked consent, or otherwise record or transcribe people in violation of applicable recording, wiretapping, or privacy laws
  • Use the Service for unlawful surveillance or monitoring, including monitoring of employees or of legally protected or organizing activity, in violation of applicable law
  • Record or transcribe conversations conducted over a third-party meeting or calling platform (such as Zoom, Microsoft Teams, or Google Meet) in violation of that platform’s terms of service — compliance with those terms is your responsibility
  • Upload malicious content, spam, viruses, or inappropriate material
  • Use Tagup Pro to harass, stalk, or inappropriately contact individuals
  • Share login credentials or allow unauthorized account access
  • Store information about minors without proper authorization
  • Upload copyrighted material without appropriate rights

Professional Misconduct:

  • Violate confidentiality agreements or professional obligations
  • Use Tagup Pro for illegal business activities or fraud
  • Misrepresent your identity or professional relationships
  • Bulk upload contact lists from unauthorized sources
  • Use the Service to send unsolicited communications or spam

User Data Management:

  • Maintain accurate and up-to-date contact information
  • Respect the privacy and consent of individuals whose data you store
  • Use offline functionality responsibly and sync regularly
  • Manage local storage and browser cache appropriately
  • Keep your installed PWA version updated when prompted
  • Export your data regularly for backup purposes

7. Third-Party Services and Integrations

Authentication Providers

Google Sign-In:

  • Tagup Pro uses Google Sign-In as a third-party authentication service to provide secure and convenient account access
  • When you use Google Sign-In, you are agreeing to Google’s Terms of Service ( https://policies.google.com/terms) and Privacy Policy ( https://policies.google.com/privacy) in addition to these Terms
  • We collect only the minimum information necessary from your Google account (email address, and optionally your name and profile picture) for authentication purposes
  • You can review and manage Tagup Pro’s access to your Google account at any time through Google Account Permissions

Your Responsibilities:

  • Maintain the security of your Google account, including your password and two-factor authentication settings
  • Review and understand Google’s terms and privacy policies before using Google Sign-In
  • Monitor the third-party applications connected to your Google account
  • Notify us immediately at support@tagup.pro if you believe your Google account has been compromised
  • Keep your Google account recovery information current

Our Responsibilities:

  • Use your Google account information only for authentication and account management purposes
  • Comply with Google API Services User Data Policy, including Limited Use requirements
  • Protect the security of authentication tokens and data received from Google

Limitations:

  • We are not responsible for the availability, security, or reliability of Google Sign-In services
  • We cannot guarantee that Google Sign-In will be available at all times
  • Changes to Google’s authentication services or policies may affect your ability to sign in
  • We reserve the right to remove or modify third-party authentication options at any time with reasonable notice

Social Media and Messaging Platforms:

  • Tagup Pro allows you to store links to social media profiles and messaging app handles
  • Clicking these links will redirect you to third-party platforms and services
  • We are not responsible for the content, privacy practices, availability, or terms of third-party services

Payment Processing (Stripe):

  • Tagup Pro uses Stripe, Inc. as our third-party payment processor for all subscription billing and payment management
  • When you subscribe to a paid plan, you enter your payment information directly into Stripe’s secure payment forms
  • Tagup Pro does NOT collect, store, or have access to your full credit card number, CVV, or payment card details
  • Stripe is PCI DSS Level 1 certified, the highest level of payment security certification
  • By subscribing to a paid plan, you agree to Stripe’s Terms of Service and Privacy Policy
  • You can manage your payment methods and view invoices through the Stripe Customer Portal accessible from your Tagup Pro account settings

Transcription Provider (AssemblyAI):

  • Tagup Pro uses AssemblyAI as a third-party service provider to convert your recorded audio into a written transcript
  • Audio you record is transmitted to AssemblyAI solely to produce the transcript, and is deleted after transcription completes — neither Tagup Pro nor AssemblyAI retains the audio
  • AssemblyAI does NOT use your audio or transcripts to train artificial-intelligence models
  • AssemblyAI is used only for transcription; it is not involved in sign-in or payments and has no access to your account credentials or payment information
  • Your recorded audio is subject to AssemblyAI’s own terms and privacy policy for the purpose of transcription

Service Providers:

  • We use third-party service providers to help operate Tagup Pro, including:
    • Cloud hosting and infrastructure services
    • Analytics and performance monitoring tools
    • Content delivery networks for assets and fonts
    • Authentication and security services
    • Payment processing services (Stripe, Inc.)
  • These providers are contractually bound to protect your data

Your Responsibility:

  • You are responsible for your use of third-party services accessed through Tagup Pro
  • You should review the terms and privacy policies of any third-party services you use
  • We make no warranties regarding third-party services

8. System Requirements and Compatibility

To use Tagup Pro effectively, you need:

  • Modern Browser: A current version of Chrome, Firefox, Safari, or Edge with JavaScript enabled
  • Cookies Enabled: Essential cookies must be enabled for authentication and core functionality
  • Internet Connection: Required for initial login, data synchronization, and accessing new data
  • Device Storage: Adequate storage space for PWA installation and local caching (storage requirements vary based on your relationship database size)
  • Supported Devices: Compatible with desktop computers and mobile devices running supported operating systems
  • Browser Updates: We recommend keeping your browser updated for optimal security and performance

Performance Considerations:

  • Performance may vary based on device capabilities, browser, network connection, and data volume
  • Some browsers may impose limitations on PWA functionality or storage capacity
  • Older devices may experience reduced performance with large relationship databases

9. Intellectual Property

Tagup Pro retains all rights, title, and interest in the Service platform, including our software, algorithms, user interface, trademarks, logos, and documentation. You receive a limited license to use Tagup Pro for your professional relationship management needs. This license does not grant you rights to:

  • Use Tagup Pro branding, logos, or trademarks for purposes other than normal PWA installation
  • Copy, modify, or redistribute our software or service workers
  • Create derivative works based on Tagup Pro
  • Access our source code, proprietary algorithms, or backend systems
  • Remove or alter any proprietary notices or labels

You may:

  • Install our Progressive Web App on your devices for personal use
  • Use app icons and branding as part of normal PWA installation on your devices
  • Export your own User Content in provided formats

10. Service Availability and Data

Service Uptime:

  • We strive to maintain high availability but cannot guarantee uninterrupted access to Tagup Pro
  • The Service may be temporarily unavailable due to maintenance, updates, or technical issues
  • We will provide notice of planned maintenance when possible

Offline Functionality:

  • PWA installation enables offline access to previously loaded relationship data
  • New data cannot be accessed or loaded without an active internet connection
  • Features requiring real-time data (analytics, synchronization) are unavailable offline
  • Offline functionality depends on browser capabilities and may vary by device

Data Synchronization:

  • Changes made offline will sync automatically when you reconnect to the internet
  • In case of synchronization conflicts, the most recent change is typically preserved
  • You are responsible for ensuring regular connectivity to prevent data loss
  • Synchronization may take time depending on the amount of data and connection speed

Data Backup:

  • We maintain regular encrypted backups of your relationship data stored on our servers
  • Backups are retained for 90 days before permanent deletion
  • You are encouraged to export your data regularly for personal backup purposes
  • We are not responsible for data loss due to browser cache clearing, device issues, or local storage problems

Data Export:

  • You can export your relationship data at any time through your account settings
  • Export functionality allows you to download your contact information and relationship records
  • Export formats may evolve over time to provide better compatibility and functionality
  • We recommend exporting your data regularly for personal backup purposes
  • Conversation audio is not retained by the Service and therefore cannot be exported; transcripts of your recordings are retained and included where applicable

Data Security:

  • We implement industry-standard security measures including encryption in transit (TLS 1.3) and at rest (AES-256)
  • You acknowledge that no system is completely immune to security risks
  • You are responsible for maintaining the security of your device and browser where data is cached locally

Updates and Maintenance:

  • The Service may require periodic updates or maintenance that could temporarily affect availability
  • PWA updates may require acceptance or browser reload to take effect
  • Critical security updates may be applied automatically

11. Beta Features

From time to time, Tagup Pro may offer early access to new or experimental features (“Beta Features”). If you choose to use Beta Features, you acknowledge that:

  • Beta Features may be added, modified, or removed based on user feedback and product development
  • You may be invited to provide feedback about Beta Features through surveys, interviews, or in-app prompts
  • Beta Features may have reduced availability, performance, or stability compared to generally available features
  • Beta Features are provided “as is” without warranty
  • Your participation in testing Beta Features is voluntary and helps shape the future of Tagup Pro

Beta Feature Benefits:

  • Early access to new capabilities before general release
  • Direct influence on product development through feedback

12. Subscription Plans and Payment

Tagup Pro is a paid subscription service. An active subscription is required to use the full functionality of the Service.

Subscription Tiers:

Both tiers include the full Tagup Pro feature set — relationship management, Conversation Hub, audio tagups with AI transcription, AI summaries, and semantic search. Tiers differ in three limits: the number of contacts you can store, the amount of file storage available, and the monthly AI credit allotment.

The Starter plan allows up to 20 contacts and includes 5 GB of file storage and 500 AI credits per month.

The Pro plan allows unlimited contacts and includes 25 GB of file storage and 2,000 AI credits per month.

AI credits power audio transcription, Hub chat, and AI summaries. Credits refresh on the day of the month you subscribed (or the closest valid day for short months) and do not roll over. When credits are exhausted, AI features pause until the next refresh while all other features continue to work. File storage does not reset monthly.

Current pricing is available at tagup.pro/pricing and may be updated from time to time.

Free Trial:

  • New accounts begin with a 7-day free trial — no payment information or credit card is required to start
  • The free trial does NOT automatically convert to a paid subscription — you must actively choose and subscribe to a plan before or after the trial ends
  • You will be notified before your trial expires
  • If you do not subscribe before or after the trial ends, your account will enter read-only mode (see “Expired and Inactive Accounts” below)
  • We reserve the right to remove accounts that remain in read-only mode without subscribing for 30 days or more after the trial period ends

Expired and Inactive Accounts:
When your subscription expires, is canceled, fails to renew, or your free trial ends without subscribing to a paid plan, your account enters read-only mode:

  • You can continue to view and access your existing data (contacts, tagups, commitments, follow-ups, notes, and other records)
  • You cannot create, edit, or add new data including people, contacts, tagups, commitments, follow-ups, notes, or any other records
  • You can export your data at any time through your account settings
  • For accounts where a subscription has expired or been canceled: we reserve the right to remove your account and all associated data after 30 days of remaining in read-only mode without reactivating a subscription
  • For accounts where a free trial has ended without subscribing: we reserve the right to remove your account and all associated data after 30 days of remaining in read-only mode without subscribing to a paid plan
  • Before removing any account, we will send a notification to your registered email address giving you the opportunity to reactivate your subscription or export your data
  • You may reactivate your subscription at any time while your account is in read-only mode to restore full access

Billing and Payment:

  • All payments are processed by Stripe, Inc., our third-party payment processor
  • Payment information is collected only when you choose to subscribe to a paid plan — we do not collect payment information at sign-up or during your free trial
  • By subscribing to a paid plan, you authorize Stripe to charge your selected payment method on a recurring basis (monthly or annually, depending on the plan you choose)
  • Subscription fees are billed in advance at the beginning of each billing cycle
  • All prices are displayed in U.S. dollars unless otherwise specified
  • You are responsible for any applicable taxes
  • Tagup Pro does NOT collect, store, or have access to your full credit card number or payment card details — all payment information is handled exclusively by Stripe

Automatic Renewal:

  • Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date
  • You will be charged the then-current subscription rate at renewal
  • We will notify you of any price changes before they take effect

Cancellation:

  • You may cancel your subscription at any time through your account settings or the Stripe Customer Portal — no penalties or cancellation fees apply
  • Cancellations do not take effect mid-cycle; your access continues until the end of your current billing period
  • No refunds are issued for the unused portion of the current billing period
  • After your current billing period ends, your account enters read-only mode for 30 days, during which you may export your data or reactivate your subscription (see “Expired and Inactive Accounts” above)

Plan Changes:

  • You may change your subscription plan at any time through your account settings
  • Upgrades take effect immediately; you will be charged a prorated amount for the remainder of the current billing cycle at the higher tier rate
  • Downgrades take effect at the start of the next billing cycle; no credits or refunds are issued for the price difference in the current cycle
  • For annual plan subscribers, a downgrade request takes effect at your annual renewal date

Refunds:

  • All sales are final — no refunds are issued on monthly or annual subscription plans
  • Annual plans are offered at a discount in exchange for your upfront commitment; that discount is the benefit in lieu of refundability
  • If you believe you have been charged in error, contact support@tagup.pro within 30 days of the charge

Failed Payments:

  • If a payment fails, we will retry the charge up to 3 times over 14 days
  • If payment cannot be collected after retry attempts, your account will be suspended and enter read-only mode (see “Expired and Inactive Accounts” above)
  • A 30-day grace period begins when your account is suspended; you may update your payment method at any time to restore full access; if no payment is collected during this period your account will be cancelled and data permanently deleted

Price Changes:

  • We reserve the right to change subscription pricing with at least 30 days advance notice
  • Price changes will not apply to your current billing cycle
  • Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing
  • If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect

13. Termination

Your Right to Terminate:

The standard termination process is initiated by cancelling your subscription. No separate account-deletion step is required — your account closes automatically at the end of the process:

  1. Cancel your subscription through your account settings or the Stripe Customer Portal (see “Cancellation” in Section 12)
  2. Your access continues until the end of your current billing period
  3. After your billing period ends, your account enters a 30-day read-only period — you can view and export your data but cannot add or edit anything
  4. After 30 days in read-only mode without resubscribing, your account and all associated data are permanently and automatically deleted

Early Termination for Annual Subscribers:
If you are on an annual plan and wish to have your account and data removed before your annual term expires, contact us at support@tagup.pro. We will process early account closure and data deletion upon request. No refund will be issued for the remaining term, in accordance with our refund policy in Section 12.

Our Right to Terminate:
We may suspend or terminate your account if you:

  • Violate these Terms of Service or our Acceptable Use policy
  • Use Tagup Pro in ways that risk harm to other users or our systems
  • Provide false information or misrepresent your identity
  • Engage in illegal activities using our platform
  • Fail to pay for subscription services after reasonable notice and retry attempts
  • Abuse our support services or engage in harassment

Effect of Termination:

  • Upon termination, your license to use the Service ends immediately
  • You must cease using the Service and uninstall the PWA
  • Your locally cached data may remain on your device until you clear browser storage or uninstall the PWA
  • Server-side data is permanently deleted at the end of the 30-day read-only period, or upon confirmed early closure per a support request
  • Provisions regarding intellectual property, disclaimers, and limitations of liability survive termination

Third-Party Authentication on Termination:

  • When your account is terminated, we revoke all authentication tokens, including those from Google Sign-In
  • The connection to your Google account may still appear in your Google Account Permissions until you manually remove it
  • We recommend revoking Tagup Pro’s access in your Google Account settings after termination
  • Termination of your Tagup Pro account does not affect your Google account or other services

14. Disclaimers and Limitation of Liability

Service Disclaimer:
Tagup Pro is provided “as is” and “as available.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that:

  • The Service will be uninterrupted, secure, or error-free
  • The outcomes obtained from using the Service will be accurate or repeatable
  • The quality of the Service will meet your expectations

Relationship Management:
Tagup Pro is a tool to help organize professional relationships. We do not guarantee that using Tagup Pro will:

  • Improve your business outcomes, career success, or relationship quality
  • Maintain or strengthen your professional relationships
  • Prevent loss of business opportunities or connections
  • Provide accurate predictions or insights about relationship health

Data Accuracy:

  • We are not responsible for the accuracy, completeness, or appropriateness of the relationship data you store in Tagup Pro
  • You are solely responsible for the quality and legality of your User Content
  • We do not verify or validate the information you enter

Progressive Web App:
We are not responsible for:

  • Device storage limitations or conflicts with other applications
  • Browser compatibility issues, updates, or restrictions
  • Data loss due to browser cache clearing, device issues, or local storage problems
  • Offline functionality limitations or synchronization conflicts
  • Service worker installation failures or browser security restrictions
  • Performance variations across different devices or browsers

Third-Party Services:

  • We are not responsible for the availability, content, or practices of third-party services accessed through Tagup Pro
  • Links to social media, messaging apps, or other external services are provided for convenience only
  • We make no warranties regarding third-party services

Third-Party Authentication Services:

We are not responsible for:

  • The availability, reliability, or performance of third-party authentication services such as Google Sign-In
  • Security breaches, unauthorized access, or data loss related to your third-party accounts (e.g., your Google account)
  • Changes to third-party authentication policies, terms, or service offerings
  • Discontinuation or interruption of third-party authentication services
  • Your inability to access Tagup Pro due to issues with third-party authentication providers
  • The accuracy or security of information provided by third-party authentication services
  • Compliance issues arising from your use of third-party authentication services
  • Data practices, privacy policies, or security measures of third-party authentication providers

If you experience issues with Google Sign-In or other third-party authentication, you should:

  1. Contact the third-party provider directly (e.g., Google Support)
  2. Contact our support team at support@tagup.pro if you need assistance accessing your account

Authentication Service Interruption:
In the event that third-party authentication services become unavailable, we will make reasonable efforts to:

  • Provide alternative authentication methods (e.g., password reset)
  • Notify users of any extended outages
  • Assist users in regaining access to their accounts

However, we cannot guarantee uninterrupted access via third-party authentication services.

Payment Processing:

  • All payment processing is handled by Stripe, Inc. We are not responsible for Stripe’s availability, errors in payment processing, or unauthorized charges resulting from the compromise of your payment credentials outside of our systems
  • You are responsible for maintaining accurate and current payment information with Stripe
  • Disputes regarding payment charges should first be directed to our support team at support@tagup.pro before initiating a chargeback or dispute with your payment provider
  • We are not liable for any fees, penalties, or losses arising from failed payments, expired payment methods, or payment disputes
  • We are not liable for any data loss resulting from account removal following the expiration of the read-only period as described in Section 12

Analytics and Tracking:

  • We are not responsible for any issues arising from analytics tracking or cookie usage
  • Analytics data is provided for general insights and may not be completely accurate

Limitation of Liability:
To the fullest extent permitted by law, Tagup Pro, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or relationship information
  • Loss of goodwill or reputation
  • Cost of substitute services
  • Business interruption
  • Any other intangible losses

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

Maximum Liability:
In no event shall our total liability to you for all damages, losses, and causes of action exceed the greater of (a) the total amount you have paid to Tagup Pro for subscription fees in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

15. Indemnification

You agree to indemnify, defend, and hold harmless Tagup Pro, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Service or PWA
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your User Content or the storage of contact information without proper consent
  • Your recording or transcription of any conversation, meeting, or call without the consent or notice required by applicable law, or in violation of the rights of any person you record
  • Your use of third-party services accessed through Tagup Pro
  • Any misrepresentation made by you
  • Your violation of applicable laws or regulations

16. Privacy and Data Protection

Your relationship data and personal information are subject to our Privacy Policy, which forms an integral part of these Terms. By using Tagup Pro, you agree to our data collection, use, protection, and sharing practices as outlined in our Privacy Policy.

Key Privacy Commitments:

  • We do not sell, rent, or share your relationship data with third parties for marketing purposes
  • You own your relationship data
  • You can export your data at any time
  • You can delete your account and data at any time
  • We do not store your conversation audio — audio is deleted after transcription, and only the transcript is retained
  • We do not use your audio or transcripts to train AI models, and we do not permit our transcription provider to do so
  • We do not create or store voiceprints or biometric profiles
  • We implement enterprise-grade security measures to protect your data
  • We comply with applicable privacy regulations including GDPR and CCPA
  • Payment card details are collected and stored exclusively by Stripe, Inc., our PCI DSS Level 1 certified payment processor — Tagup Pro never has access to your full card information

17. Governing Law and Disputes

Governing Law:
These Terms are governed by the laws of North Carolina, United States, without regard to conflict of laws principles.

Dispute Resolution:
Any disputes arising from these Terms or your use of Tagup Pro shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Arbitration Agreement:

  • You agree to resolve disputes through individual arbitration rather than court proceedings
  • Arbitration will be conducted in North Carolina or remotely by videoconference
  • You waive your right to participate in class actions or class arbitrations
  • The arbitrator’s decision is final and binding

Exceptions:
Either party may seek injunctive relief in court for intellectual property disputes or violations of these Terms that could cause irreparable harm.

Informal Resolution:
Before initiating arbitration, you agree to contact us at support@tagup.pro to attempt to resolve the dispute informally for at least 30 days.

18. Changes to Terms

We may update these Terms as Tagup Pro evolves from beta to full release or as we add new features and functionality. When we make changes:

  • We will update the “Effective Date” at the top of this document
  • We will notify you of material changes via email or through the Tagup Pro platform
  • For significant changes, we may require your acceptance of the updated Terms
  • Continued use of the Service after changes become effective constitutes acceptance of the updated Terms

Your Options:

  • If you do not agree with updated Terms, you may delete your account and stop using the Service
  • You can export your data before terminating your account
  • Material changes will not apply retroactively

19. General Provisions

Entire Agreement:
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tagup Pro regarding the Service.

Severability:
If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver:
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment:
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Notices:
Notices to you may be sent via email to the address associated with your account or through the Tagup Pro platform. Notices to us should be sent to legal@tagup.pro.

Force Majeure:
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, or internet/telecommunications failures.

Relationship:
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Tagup Pro.
